1. GENERAL PROVISIONS AND APPLICABILITY

    • These Terms and Conditions (hereinafter referred to as the “Terms”) govern the participation in this limited period contest (hereinafter referred to as the “Contest”) organized, conducted, and administered by Indiamart Intermesh Limited (hereinafter referred to as the “Company”), having its registered office at 1st Floor, 29-Daryaganj, Netaji Subash Marg, New Delhi, Delhi – 110002, India.
    • The Contest is hosted on the Company’s social media platforms, including but not limited to Facebook, Instagram, Twitter/X, and LinkedIn (hereinafter collectively referred to as the “Platform”).
    • By submitting an entry or participating in the Contest in any manner, the individual (hereinafter referred to as the “Participant”) irrevocably accepts and agrees to be bound by these Terms, as well as the Terms of Use and Privacy Policies of the respective Platforms.

    2. ELIGIBILITY CRITERIA

      • Participation in the Contest is open exclusively to natural persons who are legal residents of India and have attained the age of eighteen (18) years or older as of the date of entry.
      • The Participant must possess a valid government-issued proof of identity and address.
      • The following individuals/entities shall not be eligible to be declared Winners or claim Prizes under this Contest:
          • Employees, interns, consultants, or officers of the Company;
          • Company channel partners;
          • Outsourced personnel working for Company (including contractual staff);
          • Vendors, suppliers, or agencies providing any services to Company;
          • Any individual involved in the administration, execution, or evaluation of this Contest.
        • If any such person is inadvertently selected, the Company reserves the right to cancel the selection and choose another Winner.

      3. CONTEST PERIOD

        • The Contest shall commence on  22nd January 2026 at 00:00 Hours (IST) and shall conclude on 23rd February 2026 at 23:59 Hours (IST) (hereinafter referred to as the “Contest Period”).
        • The Company retains the absolute right to extend, shorten, modify, or cancel the Contest Period at its sole discretion without prior notice or liability to any Participant.
        • The results shall be announced on the Company’s official social media platforms between 27th February 2026 and 5th March 2026.

      4. MECHANISM OF PARTICIPATION

        • To participate, the Participant must follow the specific instructions outlined in the official Contest announcement post on the Platform, which includes actions and procedures.
        • Any content submitted by the Participant, including but not limited to photographs, videos, captions, slogans, or text (hereinafter referred to as the “Submission”), must be uploaded within the Contest Period.
        • The Participant represents and warrants that the Submission is their original work and does not infringe upon the intellectual property rights, privacy rights, or publicity rights of any third party.
        • Entries that are incomplete, illegible, corrupted, or submitted through automated means (including bots, scripts, or macro services) shall be summarily disqualified.

      4A. HOW TO PARTICIPATE

               4A1. To validly participate in the Contest, the Participant must complete all of the steps during the Contest Period:

            • Like the Contest post uploaded on the respective Platform.
            • Follow the official Company handle on the respective Platform.
            • Comment on the right or closest-to-correct answer under the Contest post.
            • Tag at least one (1) friend in the comments.

               4A2. Only Participants who successfully complete all of the above steps shall be considered for winner selection.

      5. CONTENT STANDARDS AND DISQUALIFICATION

        • The Company reserves the right to disqualify any Submission that, in its sole and absolute discretion, is determined to be offensive, obscene, sexually explicit, defamatory, violent, derogatory toward any ethnic, racial, gender, or religious group, or otherwise in violation of applicable laws or community standards.
        • The Submission must not contain any watermarks, logos, or trademarks belonging to third parties, nor shall it promote any brand, product, or service other than those of the Organizer.
        • Any Participant found utilizing unfair means, engaging in fraudulent conduct, or harassing other participants shall be immediately disqualified and may be banned from future contests.

      6. INTELLECTUAL PROPERTY RIGHTS AND LICENSE

        • By entering the Contest, the Participant grants the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the Submission (including the Participant’s name, likeness, and social media handle) in any media formats and through any media channels, whether now known or hereafter developed.
        • The Participant acknowledges that the Submission may be used for marketing, advertising, and promotional purposes by the Company without any further compensation, notice, or approval.
        • The Participant hereby waives any “moral rights” or rights of attribution they may have in the Submission to the fullest extent permitted by law.

      7. SELECTION OF WINNERS AND PRIZES

        • The winners (hereinafter referred to as the “Winners”) shall be selected based on the criteria specified in the Contest announcement through a Lucky Draw.
        • The decision of the Company regarding the selection of Winners shall be final and binding, and no correspondence or appeals shall be entertained in this regard.
        • The Winners shall be entitled to receive the prizes as announced (hereinafter referred to as the “Prizes”). The Prizes are non-transferable, non-assignable, and cannot be exchanged for cash or other substitutes.
        • The Company shall not be responsible for any defects, deficiencies, or warranty claims regarding the Prizes, particularly where the Prizes are manufactured by third parties.
        • The Winners shall be selected on a random basis (“lucky draw”) from among the Participants who have completed all participation steps mentioned in Clause 4A.
        • Random selection shall be conducted internally by the Company using an automated or manual draw method.
        • The Company shall not entertain any disputes or claims regarding the selection methodology or outcome.
        • The Winners will be contacted through respective social media direct messages.
        • The Winners must respond within 48 hours from the time of receiving the DM, failing which the Company may select an alternate Winner without any further notice.
        • The Prizes for the Contest shall consist of shopping coupons/vouchers worth INR 3,000 in total.
        • The same shall be distributed among three (3) Winners, such that each Winner receives one (1) gift card/coupon worth INR 1,000.
        • The Prizes are subject to availability and terms of the issuing brand. Company shall not be responsible for expiry, redemption issues, or defects in the vouchers.

        8. LIMITATION OF LIABILITY AND INDEMNITY

          • The Participant agrees to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, and employees from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or relating to: (a) the Participant’s breach of these Terms; (b) any third-party claim regarding the infringement of intellectual property rights in the Submission; or (c) the Participant’s acceptance or use of the Prize.
          • The Company shall not be liable for any failure to receive entries due to transmission failures, technical malfunctions, network outages, hardware or software failures, or high internet traffic.
          • The Company shall not be liable for any indirect, special, consequential, or punitive damages arising out of the Contest, including but not limited to loss of profits or loss of data.

        9. THIRD-PARTY PLATFORM DISCLAIMER

          • The Participant acknowledges that the Contest is in no way sponsored, endorsed, administered by, or associated with Facebook, Instagram, Twitter, LinkedIn, or any other social media platform.
          • By participating, the Participant hereby fully releases and discharges the respective Platforms from any and all liability arising out of or in connection with the Contest.

        10. DATA PRIVACY AND PROTECTION

          • The Participant consents to the collection, storage, and processing of their personal information (including name, contact details, and address) by the Organizer for the purpose of administering the Contest and fulfilling Prizes. 10.2. The Organizer agrees to handle such personal data in accordance with applicable data protection laws and its Privacy Policy.

        11. GOVERNING LAW AND JURISDICTION

          • These Terms and the Contest shall be governed by and construed in accordance with the laws of India.
          • Any disputes, differences, or controversies arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts comprised in New Delhi, India.

        12. FORCE MAJEURE

          • The Company shall not be held liable for failure to perform or delay in performing any of its obligations under these Terms if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural calamities, war, riots, civil disturbances, governmental actions, internet outages, or technical failures.

        13. MODIFICATION AND TERMINATION

          • The Company reserves the absolute right to amend, modify, suspend, withdraw, or terminate the Contest or these Terms, at any time, without prior notice and without assigning any reason.
          • Such modifications shall be binding on all Participants, and participation after such modification shall be deemed acceptance.
